Job Description

Our client is looking for a Company Secretary / Executive Assistant.  It is a permanent position at a professional services company in Wanchai, work closely with Top Management and plays a key role in the Company.     

 

Main responsibilities of Company Secretary:

Ÿ   Provide clients with a full spectrum of company secretarial, regulatory compliance and corporate governance services in compliance with Hong Kong Listing Rules, Securities and Futures Ordinance, Companies Ordinance, Codes of Takeovers and Mergers and Share Buy-Backs, etc

Ÿ   Organize and attend meetings of Shareholders, Directors as well as Audit, Remuneration and Nomination Committees and draft relevant minutes

Ÿ   Draft / Peruse quarterly, interim and final results announcements, quarterly, interim and annual reports (including directors’, corporate governance and ESG reports) and circulars for general mandates to issue and repurchase shares and re-election of directors from company secretary’s perspective

Ÿ   Draft / Peruse monthly returns on securities movements, disclosure of interests forms, next day disclosure returns, etc

Ÿ   Assist clients in dealing with their corporate activities, notifiable or connected transactions as well as other ad hoc projects such as placing, bonus share issue, consolidation/sub-division of shares, grant of share options, refreshment of mandate limit / establishment of share option or award scheme, suspension of share dealing / trading halt, change of company name / auditors, takeovers, restructuring, etc

Ÿ   Manage a portfolio of clients – both listed and private companies independently

Ÿ   Assist in handling clients' Due Diligence matters, share option scheme or trust administration matters

Ÿ   Take up any other responsibility reasonably assigned by Top Management

 

Main responsibilities of Executive Assistant:

Ÿ   Interfaces with clients on behalf of Top Management in coordination of meetings, events, presentations or pitches; prepare meeting minutes and distribute to relevant parties and follow through

Ÿ   Assist Top Management to develop and leverage relationship with clients to establish new businesses and foster business expansion

Ÿ   Manage information flow in a timely and accurate manner

 

Requirements:

 

Ÿ   Associate Member of HKICS

Ÿ   At least 10 years of corporate secretarial experience

Ÿ   Holder of relevant degree or professional diploma preferred

Ÿ   Solid experience in professional firms or listed companies

Ÿ   Good communication / interpersonal skills (including Mandarin and written English)

Ÿ   Must be reliable with leadership, organizational, communication and analytical skills with good command of English and Putonghua

Ÿ   Extensive AGM minute taking experience

Ÿ   Proficient in computer and Microsoft Word skills, able to type English and Chinese
