Provide legal support to each business unit within the company and work directly with Chairman, General Counsel and Senior Legal Counsel.
Assist the group companies by providing advices on local laws and regulations in a wide variety of matters.
Draft and review the company’s various types of contract, agreements and other legal documents across various business lines such as lending agreements, placement agreements, employment agreements underwriting agreements, advisory agreements, client/customer agreements, leases and employment agreements. Draft and Review correspondence for compliance and legal purposes.
Consult and handle all corporate legal processes (e.g. mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits); deal with complex matters with multiple stakeholders and forces. Provide legal and compliance advice on local laws and regulations to management and business units in conjunction with outside counsel as necessary. Guide managers and ensure compliance with rules and regulations and apply effective risk management techniques and offer proactive advise on possible legal issues.
Communicate and negotiate with Hong Kong regulators (i.e. SFC, HKMA etc.) creating relations of trust as needed.
Update and review internal manuals to ensure full compliance with local regulatory guidelines and internal policies.
Develop company policy and position on legal issues.
Research, anticipate and guard company against legal risk.
Represent company in legal proceedings (administrative boards, court trial etc.).
Act as corporate secretary for the group companies.
AML Compliance officer when needed.
Degree holder preferably in law or related disciplines and with relevant professional qualifications.
Minimum 6 years of legal or compliance experience in law practicing or financial service firms.
Understand financial market and business. Good knowledge of financial services laws, regulations, guidelines and market practices.
Sound knowledge in Securities & Futures Ordinances (SFO) and investment products.
Professional with good interpersonal skills.
Aggressive, able to work independently, pro-active and self-motivated.
Very fluent English and Chinese in both written and oral.
Good computer skills including MS Outlook, MS Word, MS PowerPoint.
Maintain confidential information on a daily basis including phone, internal and protection of documents given to him/her or if he/she is being worked on.
